Article 1 : The benefits
Prices stipulated in the quotation are valid for one month from the date of issuance thereof. These are firm and not subject to revision if the command occurs during this period. The deliverables are those clearly stated in the quote, as a corollary all services not listed are not included and will be subject to an additional free quote.
Article 2 : Order and start of work
Le devis et les CGV (conditions générales de vente) signés par le client valent exclusivement ensemble pour acceptation de ces derniers et font office de bon de commande. Celui-ci doit s’accompagner du paiement d’un acompte précisé sur le devis s’il y a lieu. Aucun travail ne débutera sans ces deux conditions remplies (devis et CGV signés, et acompte payé). Toute commande entraîne de plein droit acceptation des présentes conditions générales de vente. Sauf stipulation contraire, toute modification demandée par le client postérieurement à cette acceptation fera l’objet d’une facturation indépendante.
Article 3 : Commitments of the parties
In general, the Sponsor and Mylène Charpentier undertake to actively work together to ensure the proper execution of the contract. Each is committed to provide all the difficulties which he has knowledge, as and when, to enable the other party to take the necessary measures.
1. Sponsor
Tout d’abord, il est d’usage de remettre à Mylène Charpentier plusieurs exemplaires des créations réalisées.
To allow Mylène Charpentier to achieve her mission, the sponsor agrees to:
• establish a detailed specifications which will undergo no more modification, unless the parties agree, after being approved by Mylène Charpentier. In cases where changes involve a substantial revision of the original specifications, they will be charged in addition to the initial estimate.
• supply all the graphic and textual documentary elements necessary for the good realization of the contract (in particular in the good exploitable formats according to the aimed media) and report to Mylène Charpentier all of these elements which are not in the public domain so that the sponsor is consistently able to consider if necessary the acquisition of reproduction rights thereto. Sole responsibility of the Sponsor may be engaged as such.
• actively participate in the project's success in bringing Mylène Charpentier in useful time all information and documents necessary for the proper understanding of the needs and performance benefits.
• strictly comply with technical and creative recommendations made by Mylène Charpentier.
• guarantee Mylène Charpentier against any action which could be instituted to him because of the data or the information (texts, images, sounds) supplied or chosen by the sponsor.
• inform Mylène Charpentier of a possible competition with other providers.
2. Mylène Charpentier
• If necessary Mylène Charpentier can intervene in the elaboration of the specifications, together with the sponsor.
• Unless explicitly stated otherwise, Mylène Charpentier ensures that the artworks and designs are legally available and are not encumbered by rights of third parties, employees or not Mylène Charpentier for the uses specified in the contract.
• Mylène Charpentier will inform regularly and effectively the sponsor of the achievement of the contract and that, in particular, through validations submitted to the sponsor.
Article 4 : Lead time
Relative delays in the technical works (creation, manufacturing, etc.) will be definitive only in the signing of the firm command orders, and it is that in the reception of all the constituent elements of the work that they become actual. The non compliance by the customer of the planned calendar or the requirement of deadlines can damage the quality of the work. The customer accepts the consequences. Significant modifications, iterations, delay in the decision-making or late delivery of documents by the customer and necessary for the artwork, push the delivery deadline established between both parties.
Article 5 : Design and Delivery
The customer guarantees to have taken the care of supplying to Mylène Charpentier the most precise possible specifications detailing the nature and the environment of the order to achieve (see Art 3 - 1 of this page). If the customer does not supply a specifications to Mylène Charpentier before the beginning of the realization of the order, or when the specifications do not give indications or recommendations enough precise on the way an element of the artwork included in the order must be approached, both parties agree on the fact that the design of the element is left with the interpretation of Mylène Charpentier.
The possible delivery of sources or work files relating to the present order will only be made in case of necessity induced by the strict exploitation of the work provided for in the conditions of assignment or in a subsequent amendment.
Article 6 : Billing and Payment
Sauf délai de paiement supplémentaire clairement accordé avec une lettre écrite et signée de la part de Mylène Charpentier, le règlement de la facture est dû au maximum 30 jours après l’émission de celle-ci. Les honoraires doivent être réglés au plus tard à l’échéance du mois qui suit la facturation et non pas selon la réglementation commerciale fournisseur. Le paiement s’effectue par virement bancaire, par chèque à l’ordre de Mylène Charpentier ou via Paypal (frais à la charge du commanditaire). En cas de retard, des pénalités seront exigibles sans qu’un rappel soit nécessaire conformément à la loi (cf: c. com. art L. 441-6, al.2 modifié de la loi du 15 mai 2001). En application de la loi n° 92-1442 du 31.12.1992, une pénalité fixée à 15% du montant net de la facture, par mois de retard entamé, est exigible, sans rappel, le jour suivant la date limite de règlement, ainsi qu’à une indemnité forfaitaire de 40€ (C. Com. art. D441-5). En cas de non-paiement le client prendra en charge tous les frais de recouvrement. Mylène Charpentier se réserve le droit de suspendre toute gestion de commande et toute livraison en cas de refus d’autorisation de paiement de la part des organismes officiellement accrédités ou en cas de non paiement. Mylène Charpentier se réserve notamment le droit de refuser ses prestations de services émanant d’une commande d’un acheteur qui n’aurait pas réglé totalement ou partiellement une commande précédente ou avec lequel un litige de paiement serait en cours d’administration. Le défaut de paiement entraîne la non transmission des droits d’utilisation et de diffusion des créations réalisées, même si les fichiers de création ont déjà été livrés au client. Comme stipulé dans l’Art3 – 1. de ces CGV, dans le cas où des modifications impliqueraient un remaniement substantiel du cahier des charges initial, ces dernières seront facturées en sus du devis initial. Conformément à l’article 293 B du Code général des impôts, la TVA est non applicable.
Article 7 : Other expenses
Movements necessary for the proper execution of the contract may also be charged to the sponsor (whether before or after the contract is signed). Also, supplies such as fonts, photo prints, films resulting from flash drive, laser color printing, and all elements necessary for carrying out the work are not included in the fees of creation.
Article 8 : Confidentiality, Data Protection
Mylène Charpentier refrains to reveal the information provided by the client and expressly stipulated confidential. Under the Privacy and throughout the term hereof and even after cessation for any reason whatsoever, Mylène Charpentier agrees to keep strictly confidential all information and documents of any kind relating to the Sponsor in which he would have been able to have access in the frame in particular of the execution of the present mission. On its side, the customer agrees not to disclose any data, formulas, programs, procedures or information they have been aware of the execution of these conditions. The information collected in the context of trade relations are intended solely for internal use and are not in any circumstances transferred to third parties. Prospects and customers have a right to access, modify, rectify and delete data concerning them according to art. 34 of the Data Protection Act of France.
Article 9 : Copyright, Legal notices and Principles
The reproduction and the republication of the artworks and designs of Mylène Charpentier are subject to the perception of copyright according to the law of 11 March 1957 French law. The transfer of those rights only concerns specifically intended use. Any subsequent or different use requires a new agreement. Changes or interpretations of graphic design can be made in any case, without the consent of Mylène Charpentier. An idea proposed by the client is not in itself a creation. Unless explicitly stated otherwise by the client, Mylène Charpentier reserves the right to include in the finished work a commercial mention indicating clearly its contribution with a hypertext link and/or a logo pointing to the commercial site of its activity (Mylène Charpentier). Commercial mention can’t be moved or removed without the written consent of Mylène Charpentier.
Article 10 : Rights of reproduction and distribution
Rights of reproduction and distribution are calculated according to the distribution of the work. They can be inclusively sold or partially. Every adaptation different from the original work is the object of a new transfer of copyright. For every new edition, the fee must be updated. Rights are assigned in the temporal and geographic scope of this contract and shall not exceed in this limit. To allow the Sponsor to use freely the service provided in the course of its business, all proprietary rights with respect to the creation of the service provider under the project will be fully and exclusively assigned to the Sponsor and that for the distribution on the supports specifically defined in the order during the actual payment of all fees due.
Article 11 : Rights of advertising
Under the moral right of Mylène Charpentier on its creation, the Sponsor allows Mylène Charpentier to mention the work as an example of achieved creations on his commercial documents and advertisement. It is agreed that in case of specific operation of the Sponsor, and only in connection with the success of its business, the Sponsor may request a period of confidentiality to Mylène Charpentier which may apply only upon acceptance of the latter.
Article 12 : Inability to work
In case of incapacity, as a result of disease or of accident, Mylène Charpentier reserves the right to break the present contract, and/or to modify the current planned calendar without being required by the Sponsor the payment of compensations. It is assumed that the service provider must inform the Sponsor on the first working day of incapacity.
Article 13 : Breach of contract
In case of breach of the contract before its term by the Sponsor or Mylène Charpentier, the Sponsor makes formally a commitment to settle and to pay amounts relative to the current calendar, to the realized jobs or in progress, as well as additional services done. All copyrights remain the sole and exclusive property of Mylène Charpentier, with the exception of data provided by the sponsor. The source files and datas created and used by Mylène Charpentier can not therefore be claimed by the sponsor without a financial contribution. All original works remain the property of the author, as well as rejected projects. These documents should be returned undamaged and to his demand.
Article 14 : Jurisdiction
The general terms and conditions listed above are governed by French law. Any dispute relating to these terms and conditions for lack of mutual agreement will be reported to the competent courts of France in the city of the liking of Mylène Charpentier, which is expressly accepted by the customer.
